2. Absolute Right to Modify
Focus Returns LLC reserves the right, at its sole and absolute discretion, to modify, alter, or update these Terms and Conditions at any time without prior notice.
Your continued use of the Infrastructure following the posting of changes will mean that you accept and agree to the modifications.
3. Billing, Subscriptions, and Financial Logistics
3.1 Payment Obligations
All services, software deployments, and AI infrastructure builds require payment in full according to the terms specified in your individual service agreement or checkout portal.
3.2 No-Refund Protocol
Due to the proprietary engineering, labor, and computing resources required to deploy our AI systems, all sales are strictly final and non-refundable.
We do not offer prorated refunds for canceled subscriptions.
3.3 Right to Suspend
Focus Returns LLC reserves the right to immediately suspend, throttle, or terminate your access to our AI agents, dashboards, and digital storefronts if your payment method fails or an invoice is past due.
We are not liable for any lost revenue resulting from a service suspension due to non-payment.
4. Acceptable Use & Strict TCPA Compliance
Focus Returns provides the infrastructure; you are solely responsible for how you deploy it.
You agree not to use our systems for any illegal, abusive, or unauthorized purpose.
4.1 Communications Compliance
If you utilize our AI voice or text agents for outbound communications, you bear the absolute, sole responsibility for complying with the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and all other applicable state and federal communication laws.
4.2 Explicit Consent Requirement
You guarantee that you possess explicit, legally documented opt-in consent from every contact our AI agents interact with on your behalf.
Focus Returns LLC accepts zero liability for fines, lawsuits, or penalties incurred by your failure to secure proper consent.
5. Disclaimer of Warranties
The materials, AI integrations, and digital infrastructure provided by Focus Returns LLC are provided on an “AS IS” and “AS AVAILABLE” basis.
Focus Returns LLC makes no warranties, expressed or implied, and hereby disclaims all other warranties including, without limitation, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
5.1 AI Output and Unpredictability
You acknowledge that Artificial Intelligence and machine learning models are inherently probabilistic.
Focus Returns LLC does not warrant or guarantee the absolute accuracy, reliability, or conversion rate of any AI agent.
Focus Returns LLC is not liable for lost revenue, miscommunications, or errors generated by automated systems.
6. Third-Party Integrations & Ecosystems
Our infrastructure frequently integrates with third-party ecosystems, including OpenAI, Twilio, Meta, Google, and external CRMs.
Focus Returns LLC does not control these external networks.
We are completely shielded from, and accept no liability for, any service interruptions, API changes, account bans, or data breaches originating from these third-party providers.
7. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Focus Returns LLC, its officers, directors, employees, or suppliers be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages.
This includes, without limitation, damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, this service.
In no event shall the total liability of Focus Returns LLC exceed the amount you paid to Focus Returns LLC in the past six (6) months, or one hundred U.S. dollars ($100.00), whichever is greater.
8. Indemnification
You agree to defend, indemnify, and hold harmless Focus Returns LLC, its contractors, licensors, subsidiaries, and their respective directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses, including attorney’s fees, arising from:
Your use of and access to our infrastructure.
Your violation of any term of these Terms and Conditions.
Your violation of any third-party right, including TCPA compliance, privacy rights, or intellectual property rights.
9. Operational Kill Switch
Focus Returns LLC reserves the right to terminate or suspend your access to our website and services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
Upon termination, your right to use the services will immediately cease.
All provisions of the Terms which by their nature should survive termination shall survive.
10. Binding Arbitration and Class Action Waiver
Please read this section carefully — it may significantly affect your legal rights.
Any dispute or claim arising out of or relating to these Terms shall be determined by final and binding arbitration in the State of Florida, rather than in court.
Class Action Waiver
You and Focus Returns LLC agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
11. Severability
If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole.
Such provisions shall be deleted without affecting the remaining provisions herein.
12. Governing Law & Jurisdiction
These Terms shall be governed and construed in accordance with the laws of the State of Florida, USA, without regard to its conflict of law provisions.
